Welcome to the Quorum Control Hackathon (“Hackathon”)! In order to participate, you (“you,” “your,” or “Participant”) must agree to and sign these Quorum Control Hackathon Participation Terms (the “Agreement”). This Agreement constitutes a binding agreement between you and Quorum Control GMBH (“we”, “us”, or “Quorum Control”). The terms below are intended to ensure that:
You keep our confidential information confidential; and
You understand that Quorum Control has a license to use anything you make, create, conceive or first reduce to practice while participating in the Quorum Control Hackathon, consideration for which is limited to us permitting you to participate in the Hackathon; and
You do not disclose to us any of your own intellectual property or any third party intellectual property (collectively, “IP”), including IP belonging to your current or previous employers.
You understand that Quorum Control has the absolute discretion to award any prizes (if any).
CONTEST PHASES: The Contest begins on 18 August 2019 at 12:01am GMT and runs until 31 August 2019 at 11:59pm GMT.
There are two phases:
A. “Submission Phase,” which begins on 18 August 2019 at 12:01am GMT. and ends on 31 August 2019 11:59pm GMT. During the Submission Phase, eligible Contestants (defined in Section 2) may enter a Submission (defined in Section 3).
B. “Judging Phase,” which begins on or about 3 September 2019 at 9:00 a.m. GMT and ends on 30 September 2019 at 9:00pm GMT. During the Judging Phase, a panel of qualified judges (“Judges”) will evaluate the submissions to determine a total of one Winner and/or a single winning team from all approved submissions. The “Judging Phase” will account for 100% of a submission’s overall contest score.
HACKATHON PARTICIPANTS HEREBY ACKNOWLEDGE THAT EVENT PARTICIPATION IS FREE OF CHARGE AND THAT PARTICIPATION DOES NOT ENTAIL ANY RIGHT TO COMPENSATION OF ANY KIND OR TO REIMBURSEMENT OF ANY EXPENSES INCURRED.
YOUR REGISTRATION FOR THE HACKATHON VIA REGISTRATION CONSTITUTES ACCEPTANCE OF THIS PARTICIPATION AGREEMENT.
1.Event Description and Objectives. The Quorum Control Hackathon is organized in the spirit of innovation, collaboration, and competition. We want to show you how easy it is to build on Tupelo. The Hackathon will be held from 18 August 2019 12:01amGMT until 31 August 2019 11:59pmGMT.
By the end of the Hackathon, Participants will create or attempt to create an app (“App”) using the Tupelo Network. The Participants will own the App subject to the license described below.
2.License. By registering for the Hackathon and presenting or submitting an entry (regardless of the form or medium of such content), Participant grants Quorum Control a worldwide, perpetual, irrevocable, nonexclusive, royalty-free license to discuss, publicize, demonstrate, and otherwise display content (including but not limited to any app or other developments) as part of the Hackathon derived from or relating to such entry for promotional and marketing purposes and for purposes relating to the Hackathon. Participant will not receive any compensation for this use of such entry.
Participant warrants that all Work Product will be issued subject to the MIT License located at https://opensource.org/licenses/MIT or the Apache (Version 2.0) License located at https://opensource.org/licenses/Apache-2.0. "Work Product" means all ideas, concepts, proposals, materials, and all other work product of any nature whatsoever, that are created, prepared, produced, conceived, or reduced to practice by Participant solely or jointly with others during the Hackathon. Participant represents and warrants that, to the best of his or her knowledge, the Work Product is and will be Participant’s own original work and does not and will not infringe the intellectual property or proprietary rights of any third party, including, without limitation, any third party patents, copyrights or trademarks. Participants will not receive compensation from Sponsor in connection with any Work Product.
3.Eligibility and Participation. Participation is open to anyone who is attending Berlin Blockchain Week, and is 18 years or older. you may not participate in the Hackathon if you are a current or former employee of Quorum or any affiliate. Quorum Control may set other participation conditions in its discretion.
Participants must provide accurate and complete information upon registration and must unconditionally accept any and all decisions made by Hackathon organizers in the Berlin Blockchain Week.
By accepting this Agreement and participating in the Hackathon, each participant undertakes, for the entire duration of the Hackathon, to make use of the facilities in which the Hackathon is to be held and any materials and equipment provided by Quorum Control or the facilities with the utmost care and diligence and to comply fully with the rules of conduct and safety established by the facilities. Event participants will be held liable for any damage caused to people or property.
4.Judging and Selection of Winners. All qualified Submissions will be judged by a panel of judges (the “Selection Committee”) who will include, among others, representatives from Quorum Control and other experts we determine are experts in this field.
The Submissions will be judged according to the following factors (the “Evaluation Factors”): (i) originality; (ii) value proposition; (iii) ability to execute; (iv) contribution to the blockchain ecosystem; (v) academic distinction or industry experience of the team members, and (v) any other factors deemed appropriate by the Selection Committee. The Evaluation Factors are to be weighted by us in our sole discretion.
The winners will be notified by e-mail as soon as reasonably practical following the determination of the Selection Committee. All decisions of the Selection Committee are final. The decisions of the Selection Committee will be final. Winners will be notified by e-mail. Quorum Control reserves the right to change from time to time the Evaluation Criteria and winner selection criteria described above at our sole discretion.
5.Prize. The winner will be awarded €1000 paid in a manner as mutually decided by Quorum Control and the winner.
For purposes of this Agreement, “Confidential Information” means any technical or business information disclosed by us to you that: (i) if disclosed in writing, is marked “confidential” or “proprietary” at the time of such disclosure; (ii) if disclosed orally, is identified as “confidential” or “proprietary” at the time of such disclosure; or (iii) under the circumstances, a person exercising reasonable business judgment would understand to be confidential or proprietary.
You agree: (i) to maintain all Confidential Information in strict confidence; (ii) not to disclose Confidential Information to any third parties; (iii) not to copy or otherwise reproduce Confidential Information in whole or in part; and (iv) not to use Confidential Information for any purpose except for the Hackathon. The provisions of this Section 2 will not restrict you from disclosing Confidential Information to the extent required by any law or regulation; provided that you use your reasonable efforts to give us reasonable advance notice of such required disclosure in order to enable us to prevent or limit such disclosure.
Your obligations in Section will not apply to the extent any Confidential Information:
Is now or hereafter becomes generally known or available to the public, through no act or omission on your part;
Was known by you prior to receiving such information from Quorum Control and without restriction as to use or disclosure;
Is rightfully acquired by you from a third party who has the right to disclose it and who provides it without restriction as to use or disclosure; or
Is independently developed by you without access to any Confidential Information, as evidenced by your written records.
Upon Quorum Control’s request, you will promptly return to Quorum Control all tangible items or embodiments containing or consisting of Confidential Information and all copies thereof (including electronic copies).
All Confidential Information remains the sole and exclusive property of Quorum Control. you acknowledge and agree that nothing in this Agreement will be construed as granting any rights to you, by license or otherwise, in or to any Confidential Information or any patent, copyright or other intellectual property or proprietary rights of Quorum Control, except as specified in this Agreement.
You acknowledge that the unauthorized use or disclosure of any Confidential Information would cause Quorum Control to incur irreparable harm and significant damages, the degree of which may be difficult to ascertain. Accordingly, you acknowledge that Quorum Control will have the right to obtain immediate equitable relief to enjoin any unauthorized use or disclosure of its Confidential Information, in addition to any other rights or remedies that it may have at law or otherwise.
The obligations of this Agreement will commence on the date of the Hackathon set forth above and will remain in effect for five (5) years from the date of the last disclosure of Confidential Information by Quorum Control, at which time such obligations will terminate.
7.Limited Liability and Indemnification. To the maximum extent permitted by law, Participant shall release, indemnify, defend and hold harmless Quorum Control, its employees, officers, trustees, agents, affiliates, and assignees from and against any loss, claims, costs or other liabilities or damages (including reasonable attorneys’ fees) arising from or related in any way to the Hackathon.
IN NO EVENT WILL QUORUM CONTROL OR BERLIN BLOCKCHAIN WEEK OR ANY OTHER PERSON BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE HACKATHON, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR SUCH PERSON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.
8.Additional Conditions. By registering for or submitting an entry to the Hackathon, Participant represents and warrants the following: (a) Participant will not submit content that is copyrighted, protected by trade secret or otherwise subject to third party intellectual property rights or other proprietary rights, including privacy and publicity rights, unless Participant is the owner of such rights or has permission from their rightful owner to post the content and participate in the Hackathon; (b) Participant will not publish falsehoods or misrepresentations that could damage the Hackathon, Berlin Blockchain Week, Quorum Control, sponsors, or any other third party; (c) Participant will not submit content that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate or destructive to the Hackathon or to the brand image or goodwill of Quorum Control or sponsors; (d) Participant will not post advertisements or solicitations of business; (e) Quorum Control will not be obligated to pay any compensation to, or permit any participation by, any third party in connection with the use, reproduction, modification, publication, display or other exploitation of any of the content that is submitted; (f) the content submitted by Participant does not contain any viruses, Trojan horses, worms or other disabling devices or malicious code; and (g) Participant will not attempt, create, or use any unauthorized access to Quorum Control or any network or other digital communication or data storage systems.
Quorum Control reserves the right to initiate any legal cause of action and/or alert authorities in the case of any property damage or theft or any other violation of law or violation of this Agreement. Participant understands that the Hackathon may be photographed, videotaped, recorded, etc. and hereby grants Quorum Control the right to use Participant’s name, voice, comments, hometown and state of residence and/or likeness in any and all footage about Participant’s participation in the Hackathon and Participant’s Hackathon submission in any manner or media that Quorum Control sees fit without Participant’s review or approval and without compensation.
9.Prohibited Conduct. Participant may be disqualified for any of the following actions, with or without warning, in Quorum Control’s sole discretion: (i) verbal abuse of another Participant or Hackathon staff; (ii) inappropriate touching or harming of another Participant, Hackathon, or sponsor staff; (iii) breach of this Agreement or any other agreement entered into in connection with the Hackathon; (iv) violation of or non-compliance with any section of this Agreement, (v) violating the spirit or any legitimate operation of the Hackathon or (vi) if Participant’s submission is disqualified. ALL DISQUALIFICATION DECISIONS OF QUORUM CONTROL ARE FINAL AND NOT SUBJECT TO APPEAL.
10.Disputes. Any dispute related to this Agreement or arising out of participation in the Hackathon shall be settled through consultation and negotiation in good faith between the Participant and a to-be-designated Quorum Control executive. Any mutually agreed decision to resolve such dispute shall be final and binding on the parties.
All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. Venue for such arbitration shall be in Germany.
11.No Employment Relation. You understand that this Agreement does not constitute a contract of employment or consultancy or obligate Quorum Control to employ you.
12.Links to Third Party Websites or Resources. The Hackathon may allow you to access third-party websites or other resources. We provide access only as a convenience and are not responsible for the content, products or services on or available from those resources or links displayed on such websites. You acknowledge sole responsibility for and assume all risk arising from, your use of any third-party resources.
Entire Agreement. This Agreement constitutes the entire and exclusive understanding between Quorum Control and you regarding the Hackathon, and this Agreement supersedes and replaces all prior oral or written understandings or agreements between us and you regarding the Hackathon. If any provision of these Agreement is held invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of this Agreement will remain in full force and effect.
Assignment. You may not assign or transfer this Agreement, by operation of law or otherwise, without Quorum Control’s prior written consent. Any attempt by you to assign or transfer this Agreement, without such consent, will be null. We may freely assign or transfer this Agreement without restriction. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors and permitted assigns.
Notices. Any notices or other communications provided by Quorum Control under this Agreement will be given: (i) via email; or (ii) by posting to the Hackathon. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
Waiver of Rights. Quorum Control’s failure to enforce any right or provision of this Agreement will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Quorum Control. Except as expressly set forth in this Agreement, the exercise by either party of any of its remedies under this Agreement will be without prejudice to its other remedies under this Agreement or otherwise.
